AI contract review or an Estonian lawyer: which do you need?

Last checked:

If you have an Estonian lease, employment contract or service agreement in front of you, you have two realistic ways to check it: an automated AI review or an Estonian lawyer. They do different jobs. This guide sets out honestly what each is good for and how to combine them.

In short

  • An automated check is good at recognisable problems, such as a residential deposit above the legal cap of three months’ rent (VÕS § 308(1)).
  • Some steps need a notary anyway: in most cases, transferring a share in an Estonian OÜ must be notarised (ÄS § 149(4), (6)).
  • An employee who wants to challenge a termination must go to court or the labour dispute committee within 30 calendar days (TLS § 105(1)).

Laws referred to: Law of Obligations Act (VÕS) § 42, § 308(1) · Employment Contracts Act (TLS) § 10¹, § 24, § 105(1) · Commercial Code (ÄS) § 149(4), (6) · Bar Association Act (use of the professional title of attorney)

What does an AI contract review actually do?

It reads the whole document quickly, flags clauses that commonly create risk and links each one to the relevant Estonian statute. A useful report quotes the clause, explains the problem in plain language and suggests what to ask for instead.

For a foreigner handed an Estonian contract, the first difficulty is often not knowing which clauses are unusual. An automated check is good at recognisable problems, for example: a residential deposit above the legal cap of three months’ rent (VÕS § 308(1)); a probation period longer than four months (TLS § 10¹); a post-employment non-compete with no compensation (TLS § 24); a liability cap that protects only one side; or a contractual penalty that looks excessive.

It is fast and inexpensive. With Contract Review Estonia, you upload a PDF, DOCX or TXT file and get a free risk summary showing how many risk points were found and the most severe one, before deciding whether to buy the full report.

It also works in English at any hour, which matters when a landlord or employer wants a signature by tomorrow.

What can’t an AI contract check do?

It cannot negotiate for you, weigh your commercial position, represent you before a court or authority, or guarantee that it has found every problem. It reviews the text you upload, not the facts behind it.

Much of a contract’s risk sits outside the document: what was promised by email, how the parties actually behave, how much leverage you have and what you can live with. A clause that is harmless for one person is a deal-breaker for another. An automated tool also cannot see documents the contract only refers to, such as standard terms, annexes or the articles of association behind a shareholders’ agreement.

It is not a lawyer and does not give legal advice. It takes no responsibility for the outcome, cannot appear in court and cannot formalise a transaction. Some steps need a notary anyway: in most cases, transferring a share in an Estonian OÜ must be notarised (ÄS § 149(4), (6)).

Treat the report as a well-organised list of questions, not a final answer.

When should you hire an Estonian lawyer?

Hire one when the stakes are high, a dispute has started, or the document sets up something hard to undo. Typical cases are high-value deals, company formation and shareholders’ agreements, litigation or arbitration, and disputes about the termination of employment.

Deadlines are a strong reason to move quickly. An employee who wants to challenge a termination must go to court or the labour dispute committee within 30 calendar days (TLS § 105(1)), so don’t wait for a second opinion before booking a lawyer.

Other signs: the other side is represented; the contract is worth more than you can afford to lose; you are founding a company with partners; the contract chooses a foreign law or arbitration; the binding version is in Estonian and you cannot check the translation; or you have received a formal claim, a termination notice or court papers.

In Estonia, only members of the Estonian Bar Association may provide legal services under the professional title of attorney (advokaat). The Bar’s online directory can be searched by location and practice area. For an English-speaking lawyer in Tallinn, check the languages listed on the firm’s website or ask in your first message.

How do the costs compare?

An automated check costs a small fixed amount and returns a result in minutes. A lawyer sets their own price, usually hourly or as a fixed fee, and takes longer, but the fee covers judgement, negotiation and responsibility for the advice.

Ask for a quote before sending documents. Agree the scope (a review only, or a review plus a mark-up and negotiation), the expected timing and whether the first consultation is charged. A clear, focused brief keeps the bill down.

The larger cost is often signing something you did not understand. For a standard flat rental, an automated check plus a few questions to the landlord may be enough. For a shareholders’ agreement, a senior employment contract or a large supply deal, a lawyer’s fee is small compared with what is at stake.

How can you use AI review and a lawyer together?

Run the automated check first, then take the report to a lawyer. The lawyer starts from a list of flagged clauses with statute references rather than a blank page, and you arrive knowing what to ask.

A practical sequence: upload the contract and read the risk summary, then mark the issues that matter to you. Write down the facts no tool can know, such as verbal promises, deadlines and your fallback options. Then send the contract, the report and your notes to the lawyer and ask for a quote.

Ask the lawyer to confirm or reject each flagged point and to add anything that was missed. Automated tools can misread poor scans, unusual structures and clauses that depend on other documents, so a human check matters most where the stakes are highest.

Clauses to check before you sign

  • Find the governing-law and dispute clauses; a foreign law or arbitration is a reason to involve a lawyer.
  • Add up the money at stake: price, penalties, liability caps and deposits.
  • List the deadlines that run against you: notice periods, claim windows, and the 30-day limit for challenging a termination (TLS § 105(1)).
  • Collect every document the contract refers to: standard terms, annexes, articles of association.
  • Write down anything agreed verbally or by email that is missing from the text.
  • Check standard terms for clauses that could be unfair under VÕS § 42.
  • Decide your walk-away points before you negotiate.
  • If you need a lawyer, get a written quote with the scope of work first.

Frequently asked questions

Is an AI contract review legal advice?

No. It is an automated analysis of the text, and this service is not a law firm. Use the report to understand the contract and prepare questions, and rely on an Estonian lawyer for advice on your specific situation.

How accurate is AI contract review?

There is no single reliable figure, and you should be wary of any tool that quotes one. Quality depends on the document, the scan and how standard the contract is. An automated check is a strong first pass for common issues, but it cannot confirm that nothing was missed.

How do I find an English-speaking lawyer in Tallinn?

Start with the Estonian Bar Association’s directory, filtered by location and practice area, then check each firm’s website for the languages it works in. Ask whether they regularly handle your type of contract, who will do the work, and what the fee will be.

What should I prepare before meeting a lawyer?

The full signed or draft contract with every annex, any correspondence about it, a short timeline, your questions in order of importance and any automated review report. Say what outcome you want and any deadline you face.

Is an AI check enough for a rental or employment contract?

For a standard contract with no dispute, it is often a sensible first step. If the check flags serious issues, the landlord or employer will not change them, or you have already received a termination or a claim, speak to an Estonian lawyer.
